This election notice is for the 2022 Board of Directors Election & Bylaw Change and will include a link to a member profile of each candidate running for the Board. When you get this notice, you can cast your vote for up to three (3) candidates of your choice.
This election will also have a proposed Bylaw change. The proposed Bylaw change is to change the operation of the Space Coast MLS as a Committee of the Space Coast Association of Realtors®, Inc. and authorize the establishment of the Space Coast MLS as a "Wholly-Owned Subsidiary Corporation" of the Space Coast Association of Realtors®, Inc.
Proposed Bylaw Change Rationale: Local Associations are authorized by the National Association of REALTORS® to own and operate a Multiple Listing Service (MLS) as either a committee of the Association or as a “wholly-owned subsidiary of the Association”. We have historically operated the Space Coast MLS as a Committee of the Association.
Our CPA and Auditing firm has recommended that we change the corporate structure of our MLS from a committee to a wholly-owned subsidiary of the Association. For IRS purposes the Association is classified as a 501(c)6 not-for-profit corporation. Based on this IRS status, the Association dues are tax-exempt by the IRS, we are however required to pay income tax on the MLS fees. This change to operating the MLS as a corporation owned by the Association will further protect and insulate the Association’s IRS tax-exempt status.
As a member, your daily MLS experience will be the same. Same MLS Rules, same MLS Staff, the only difference you may encounter is that your MLS fees may need to be paid by a separate transaction from your annual dues payment.
The Board of Directors, CPA, and local attorney are recommending that you vote in favor of the proposed Bylaw change as presented. View proposed Bylaw Change Language Here
